コーポレート・ガバナンス構造に関して、日本とドイツの共通点がしばしば取り上げられる。その理由の一つは、両国が米国に代表される株主中心主義とは異なるアプローチを採用している点にある。銀行中心のコーポレート・ガバナンス・モデルも株主中心のコーポレート・ガバナンス・モデルも、それぞれ試行錯誤している現状において、日独比較はとりわけ際立って重要な指摘を提供しうる。こうした理解に基づき、この特集はコーポレート・ガバナンスの視点から、日本とドイツにおける企業に関連する法律の変更、金融業界の再編ならびに「従業員体制」の変化について検討を加えるものである。
